Dishman Carbogen Amcis Ltd has convened an EGM on June 19, 2026 to seek shareholder approval for two significant proposals. First, the company proposes to increase its borrowing limits more than double from INR 1,700 crores to INR 4,000 crores to fund business growth and debt refinancing. This is classified as a material related party transaction requiring ordinary resolution approval with related parties abstaining from voting.
The proposed ECB from the promoter group at relatively lower interest rates could significantly reduce the company's debt servicing costs and improve its liquidity profile. Shareholders should note that the borrowings will increase the company's overall debt levels, and the related party nature of the transaction requires careful review. The resolution on borrowing limits is a special resolution requiring 75% shareholder approval.
