DOMS Industries Limited has disclosed the results of a postal ballot conducted via remote e-voting between July 16 and August 14, 2025. Five resolutions were put to shareholders: one Ordinary Resolution to appoint Mr. Om Santosh Raveshia as Whole-time Director, and four Special Resolutions to appoint Mr. Piyush Mehta, Mr. Rohan Ghalla, Mr. Harsh Thakkar, and Mr. Nitesh Shah as Non-Executive Independent Directors. Of the 71,090 shareholders on record, around 93.57% of outstanding shares participated in voting. All five resolutions were passed with the requisite majority — the four independent director appointments received near-unanimous approval (over 99.99% in favour), while the Whole-time Director appointment received 88.64% in favour, with the remaining 11.36% voted against (mostly from public institutional shareholders). The scrutinizer, CS Shreyans Jain, confirmed the e-voting process was fair and transparent.
All proposed board appointments are now formally approved by shareholders, strengthening the board composition with one whole-time executive and four independent directors. The near-unanimous support for the independent director appointments signals strong shareholder confidence, while the ~11% opposition to the executive director appointment from institutional public shareholders is worth noting but not material to the outcome.
