Donear Industries has submitted its annual secretarial compliance report for FY 2025-26. A Practicing Company Secretary reviewed compliance with SEBI regulations and found the company generally compliant. However, a temporary governance lapse occurred from September 26 to October 17, 2025 (22 days) after an Independent Director's tenure ended on September 25, 2025. This caused non-compliance with Board composition requirements (no Woman Director, insufficient Independent Directors, Board below statutory limit), and affected two committees (Nomination & Remuneration and Stakeholders Relationship). The company has since rectified the issues. Regulators BSE and NSE each imposed fines of Rs. 2,33,640. The company paid partial amounts and submitted waiver applications, but NSE rejected its application while BSE's decision remains pending.
The temporary governance gap is a minor concern given it lasted only 22 days and has been rectified. The pending waiver applications and partial fine payments suggest some regulatory risk remains. For shareholders, this is a low-impact compliance matter with no material threat to operations.
