Dr. Agarwal's Eye Hospital Limited (AEHL) has issued a notice convening a meeting of its equity shareholders on Thursday, July 2, 2026, at 9:00 A.M. IST at The Music Academy, Chennai, as directed by the NCLT Chennai Bench via its order dated May 5, 2026. The meeting will consider and approve the proposed Scheme of Amalgamation of AEHL (Transferor Company) into Dr. Agarwal's Health Care Limited (AHCL, Transferee Company) and their respective shareholders and creditors, under Sections 230-232 of the Companies Act, 2013. Both BSE and NSE had already given their no-objection / no adverse observation letters in February 2026, and share valuation reports (by PwC and Bansi S. Mehta Valuers) and fairness opinions (by Kotak Mahindra Capital and Motilal Oswal Investment Advisors) have been placed on record. Remote e-voting through NSDL will be open from June 7, 2026 (9:00 A.M.) to July 1, 2026 (5:00 P.M.), with a cut-off date of June 3, 2026 for determining voting eligibility. The scheme requires approval by a majority of shareholders representing three-fourths in value, plus a majority of public shareholders voting in favour, before it can be sanctioned by the NCLT.
For shareholders, this is a procedural step toward merging AEHL into its group company AHCL. If approved and sanctioned, AEHL shareholders will become shareholders of AHCL per the swap ratio, consolidating the group's healthcare and eye hospital businesses under a single listed entity. Near-term, the stock could see some volatility around the July 2 voting outcome, but no immediate change in shareholding or capital structure until NCLT sanction is received.
