The Hon'ble NCLT, Chennai Bench, has allowed the joint First Motion Application filed by Dr. Agarwal's Eye Hospital Limited (AEHL) and Dr. Agarwal's Health Care Limited (AHCL) and pronounced an order on May 5, 2026, directing both companies to convene meetings of their respective equity shareholders, secured creditors, and unsecured creditors. These meetings are scheduled for July 2, 2026, to consider and approve the amalgamation scheme under Sections 230-232 of the Companies Act, 2013. A certified copy of the order is still awaited. The scheme remains subject to further statutory and regulatory approvals.
The NCLT order marks a procedural step forward for the amalgamation. Shareholders and creditors of both entities will vote on the scheme in July 2026, with final completion still pending additional regulatory clearances.
