DroneAcharya Aerial Innovations' board, meeting on December 31, 2025, appointed two new Non-Executive Independent Directors to fill casual vacancies. Mrs. Meenakshi Gupta (DIN: 00349862), a Chartered Accountant with 21+ years of experience in audit, Ind AS, and taxation (former Deloitte), was appointed until June 24, 2027, replacing Mrs. Bhanupriya Nikhil Thakur who resigned. Mr. Shyam Jedhe (DIN: 08126983), a finance leader with nearly three decades of experience including a long stint at Siemens Ltd., was appointed until August 21, 2027, replacing Mr. Utsav Jasapara who also resigned. Both new directors are independent of existing board members and not debarred by SEBI. The board also reconstituted its Audit, Nomination & Remuneration, and Stakeholders Relationship Committees, and fixed the date for an Extra-Ordinary General Meeting to seek shareholder approval for the appointments.
Two independent directors have resigned and been replaced with financially experienced professionals, which should strengthen governance and audit oversight. The resignations of two IDs in quick succession may warrant a closer look, but the new appointees appear to bring strong relevant expertise. Shareholders will have a chance to vote on these appointments at the upcoming EGM.
