DSM Fresh Foods' proposed subsidiary, Avyom Foodtech Private Limited, has signed a binding term sheet to acquire the food processing business of Ambrozia Frozen Foods on a going-concern basis through a slump sale. Ambrozia runs an FSSAI-approved, export-compliant facility with ~15 tonnes/day capacity, 150+ SKUs (idli, dosa, kebabs, momos, samosas, gravies, etc.), and supplies institutional/QSR clients like Hyperpure, Faasos, Jubilant and Al Kabeer, with exports to Canada, UK and UAE. Ambrozia reported ~₹13 crore turnover in FY25 with peak annual revenues of ~₹16 crore. The deal includes ~5 acres of land and processing assets, with consideration structured in multiple tranches; a Business Transfer Agreement (BTA) will follow after due diligence.
This is an inorganic growth move that could expand DSM Fresh Foods' food processing footprint and revenue base via its subsidiary, but the deal is still subject to due diligence, definitive agreements and approvals, so there is execution risk and no immediate financial impact is confirmed.
