Duroply Industries conducted a Postal Ballot through remote e-voting from August 12 to September 10, 2025. Two special resolutions were passed: (1) Revision of remuneration for Mr. Sudeep Chitlangia (Executive Chairman) and (2) Revision of remuneration for Mr. Akhilesh Chitlangia (Managing Director & CEO). Of 7,255 shareholders, about 56% of outstanding shares participated in voting. Promoter group (54,48,530 shares) voted 100% in favour of both resolutions. Among public non-institutional shareholders, approximately 94% voted in favour while about 6% voted against. Overall, both resolutions passed with over 99.9% approval. There was 1 invalid vote of 85,000 shares for each resolution.
Both special resolutions were approved by an overwhelming majority, indicating strong shareholder support for the revised pay packages of the company's top leadership. Minimal opposition from public shareholders (around 6%) suggests limited governance concerns among minority investors, though this reflects increased executive compensation costs going forward.
