Duroply Industries conducted a Postal Ballot via remote e-voting (12 August – 10 September 2025) on two Special Resolutions to revise the remuneration of Mr. Sudeep Chitlangia (Executive Chairman) and Mr. Akhilesh Chitlangia (Managing Director & CEO). Out of 7,255 shareholders on record date (1 August 2025), 56.06% of outstanding shares (55,28,972 votes) were polled. Both resolutions passed with overwhelming support: Resolution 1 received 99.91% votes in favour (55,24,199) versus 0.09% against (4,773), and Resolution 2 received 99.92% in favour (55,24,280) versus 0.08% against (4,692). Promoter group (54,48,530 shares) voted 100% in favour, while public non-institutional participation was thin at just 1.83% of their holdings. There were 85,000 invalid votes on each resolution.
Routine governance update — both remuneration revisions for the top executives cleared easily with near-unanimous shareholder support. No material red flags for shareholders, though low public voting turnout (under 2%) means the result was largely driven by promoter backing. Neutral-to-slightly-negative optics on executive pay, but unlikely to move the stock.
