eClerx Services has completed its share buyback and extinguished 625,000 fully paid-up equity shares (face value Rs. 10 each) that were bought back through the tender offer route. The buyback was conducted at Rs. 4,800 per share, implying a total outflow of about Rs. 300 crore. The buyback opened on December 22, 2025, and closed on December 29, 2025, with extinguishment confirmed on January 7, 2026. Post-extinguishment, the issued share capital stands reduced from 47,650,359 shares to 47,025,359 shares. Promoter holding has effectively risen from 53.81% to 54.52% since promoters did not tender their shares.
This is a routine completion step of the previously announced buyback — no fresh cash impact now, but it slightly boosts earnings per share by reducing the share count by about 1.3%. Shareholders who tendered have already received Rs. 4,800 per share, and remaining shareholders benefit from marginally higher proportional ownership.
