Ekam Leasing & Finance (a small NBFC) reported weak Q1 FY26 (quarter ended June 30, 2025) results: standalone loss widened to Rs 11.16 lakhs versus Rs 1.12 lakhs loss in Q1 FY25, while consolidated swung to a Rs 5.36 lakhs loss from a Rs 3.65 lakhs profit a year ago. Revenue from operations fell sharply to Rs 6.02 lakhs from Rs 15.91 lakhs in the year-ago quarter. The statutory auditor (M.B. Gupta & Co) issued a qualified conclusion because the company's Net Owned Fund is below the RBI-mandated minimum of Rs 5 crore, which could attract regulatory consequences for its NBFC status. The auditor also flagged that two subsidiaries need RBI registration under the 50:50 test, and noted unrecovered loans/interest tied to companies struck off by the RoC. The board also appointed a new secretarial auditor, approved the Board's Report for FY25, fixed the 32nd AGM, and took note of a BSE warning letter (with fine waived) for not disclosing a prior extension sought from ROC Delhi.
Negative for shareholders - the company is loss-making, revenue is shrinking, and a qualified audit opinion on the minimum NOF shortfall puts its NBFC license at real risk. Expect continued stock-price weakness and regulatory overhang until the NOF gap is closed and RBI concerns are resolved.
