Elitecon International Ltd has submitted the voting results of a Postal Ballot conducted via remote e-voting from December 29, 2025 to January 27, 2026. Out of 65,588 shareholders, 61.33% of outstanding shares (98.03 crore shares) were polled. All three Special Resolutions were passed with overwhelming majority. Resolution 1 (allowing investments, loans, guarantees and security beyond Section 186 limits) passed with 99.97% in favour. Resolution 2 (regularising appointment of Ms. Anjali Bamboria as Independent Director) passed with nearly 100% support. Resolution 3 (raising borrowing limit under Section 180(1)(c) up to ₹500 crore) also passed with nearly 100% in favour. Promoters voted 100% in favour of all three resolutions; only a tiny fraction of public shareholders opposed.
Shareholders have greenlit three major corporate actions: the company can now make larger investments and give loans/guarantees beyond existing caps, appoint Ms. Anjali Bamboria as Independent Director, and raise borrowings up to ₹500 crore. The near-unanimous approval suggests minimal shareholder dissent, which is neutral to mildly positive for governance and operational flexibility.
