Elitecon International Ltd has submitted voting results from its Postal Ballot conducted via remote e-voting between December 29, 2025 and January 27, 2026. Out of 65,588 shareholders on record, approximately 61.3% of total shares (around 98.03 crore shares) participated in the voting. All three special resolutions were passed with overwhelming majority: (1) allowing investments, loans, guarantees and security beyond Section 186 limits passed with 99.97% in favour, (2) appointment of Ms. Anjali Bamboria as Independent Director passed with 100% in favour, and (3) increasing borrowing powers under Section 180(1)(c) up to INR 500 Crores passed with 100% in favour. Promoters holding 95 crore shares voted entirely in favour of all resolutions.
The approval to raise borrowing capacity up to INR 500 Crores is the most material outcome, giving the company significantly expanded debt headroom for future expansion or acquisitions. The clean approval of the new Independent Director strengthens board composition, and the Section 186 clearance provides flexibility for investments and lending beyond statutory thresholds.
