Emami Realty's Finance Committee has approved the allotment of 82,00,000 fully paid-up equity shares of ₹2 each at ₹128.50 per share to two Promoter Group entities — Suraj Finvest Private Limited and Diwakar Finvest Private Limited — upon conversion of warrants that were originally allotted in April 2025. The conversion was funded by converting an existing unsecured loan to the extent of ₹79.02 crore (75% of the warrant exercise price). Post-allotment, Suraj Finvest's holding increased from 30.67% to 33.71%, and Diwakar Finvest's holding increased from 31.05% to 34.04%. The company's paid-up capital rose from ₹8.76 crore to ₹10.40 crore. The newly allotted shares rank pari passu with existing equity shares but are subject to ICDR lock-in restrictions.
Promoter holding has increased, consolidating control. The dilution from 82 lakh new shares may have a mild negative impact on secondary market liquidity, though the underlying dilution is modest relative to total capital.
