Emami Realty Limited has submitted the minutes of its postal ballot results that were declared on December 22, 2025, for voting held between November 21 and December 20, 2025. Two ordinary resolutions seeking shareholder approval for related party transactions were passed with overwhelming majority. The first resolution approved transactions with Orbit Projects Private Limited up to an aggregate limit of Rs. 27 Crores, while the second approved transactions with Swanhousing & Infra Private Limited (an associate) up to Rs. 60 Crores. Both resolutions received 98.39% votes in favour (135,945 votes) with only 1.61% against (2,220 votes), from a total of 88 voting members.
Shareholders have cleared the way for Emami Realty to conduct related party transactions worth up to Rs. 87 Crores combined in FY2025-26. With such overwhelming approval (~98.4%), the resolutions are non-controversial and the company now has the regulatory clearance to proceed with these deals on arm's length terms.
