At a board meeting on June 21, 2025, Emcure Pharmaceuticals approved buying the remaining 20.42% stake (4,095,180 shares) in its subsidiary Zuventus Healthcare Limited from individual shareholders for a cash consideration of Rs. 7,249 million, making Zuventus a wholly-owned subsidiary (Emcure currently holds 79.58%). Zuventus reported FY25 turnover of Rs. 1,079.9 crore and profit after tax of Rs. 134.8 crore, with the deal expected to close by September 30, 2025. The board also approved reclassifying 29 members of the promoter and promoter group (who hold no shares in the company) as 'public' category shareholders, pending stock exchange and shareholder approvals. Additionally, the board approved incorporating a new wholly-owned subsidiary called 'Emcure Wellness Private Limited' in Pune with an authorized capital of Rs. 10 crore, focused on manufacturing, selling, and distributing pharmaceutical products.
The Rs. 724.9 crore cash outflow to fully own Zuventus will consolidate 100% of its earnings (~Rs. 135 crore FY25 PAT) into Emcure's books, which is mildly positive for long-term shareholders but uses significant cash. The promoter reclassification may modestly improve public float perception, and the new wellness subsidiary signals a move into adjacent pharmaceutical segments.
