Emcure Pharmaceuticals has amended its Insider Trading Code of Conduct and the Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (UPSI), in line with SEBI's Prohibition of Insider Trading (PIT) Regulations, 2015. The amended codes were approved by the Board of Directors on May 22, 2025, and will come into effect from June 10, 2025. The updated code covers definitions of insiders, designated persons, and connected persons, restrictions on trading windows, pre-clearance rules for trades above Rs. 10 lakhs, structured digital database maintenance, and penalties for violations. A Monitoring Committee comprising the MD & CEO, CHRO, Compliance Officer, and Chief Investor Relations Officer will oversee compliance.
This is a routine regulatory compliance update with no material impact on shareholders or the stock price. The amended code strengthens the company's internal controls around insider trading and fair disclosure of sensitive information, which is a standard governance measure for listed companies.
