Emergent Industrial Solutions Ltd conducted a postal ballot through remote e-voting that concluded on 29 March 2026. Three ordinary resolutions seeking shareholder approval for material related party transactions under Regulation 23 of SEBI LODR were put to vote. The transactions were with Indo Resources DMCC (Dubai), Indo International Trading FZCO (Dubai), and Indo Intertrade AG (Switzerland). All three resolutions were passed with overwhelming majority, with 99.98% of votes polled in favour and only 5 votes against each. Promoters and promoter group, being related parties, abstained from voting. Voting turnout was extremely low, with only 23,651 shares (0.52% of outstanding shares) being polled out of a total share base of 45.69 lakh shares across 446 shareholders.
The approval clears the way for the company to enter into or continue material transactions with three overseas related-party entities. With promoters abstaining and only public non-institutions voting, retail shareholders effectively decided the outcome — overwhelmingly in favour. The very low voter turnout means minority shareholders had disproportionate influence, though the result itself was near-unanimous.
