Emmbi Industries Limited has submitted the scrutinizer's report for the postal ballot (remote e-voting) conducted from May 11, 2025 to June 9, 2025. Three resolutions were put to vote: (1) appointment of Mr. Nimesh Ramniklal Mehta as Independent Director for 3 years (March 21, 2025 to March 20, 2028), which passed with 99.99% votes in favour (1.16 crore shares); (2) appointment of Mr. Lalit Surendrakumar Shah as Independent Director for 3 years (March 29, 2025 to March 28, 2028), which also passed with 99.99% votes in favour; and (3) approval of a related party transaction allowing Ms. Maithili Makrand Appalwar to hold an office of profit in the Company, which passed with 99.66% votes in favour. All three resolutions were approved with the requisite majority. The scrutinizer was Sanjay R. Dholakia of Sanjay Dholakia & Associates, Company Secretaries.
No negative impact expected — all three resolutions were overwhelmingly approved by shareholders with near-unanimous support. The board gets two new independent directors and the related party transaction gets formal shareholder backing, strengthening governance compliance.
