EMS Limited reported its Q1 FY26 (quarter ended June 30, 2025) results. Standalone revenue from operations rose to Rs 21,132.30 lakhs from Rs 20,072.28 lakhs, with standalone PAT at Rs 37.38 crore (up 1.46% YoY). Consolidated revenue grew 15.81% to Rs 23,888.89 lakhs and consolidated PAT rose 2.42% to Rs 38.06 crore, helped by the newly added manufacturing subsidiary (EMS Industries). The board approved acquiring 100% stake in EMS Realtech Private Limited to make it a wholly owned subsidiary — notably, this is a related-party transaction as the company's promoters are also directors/members in the target (which had nil turnover for the last three years). Separately, statutory auditor M/s Rishi Kapoor & Company resigned effective August 12, 2025, citing pre-occupation with other assignments, even though their term was scheduled to run until the FY 2026-27 AGM. The company also won significant new orders, including a Rs 78,197.91 lakh Kolkata Adi Ganga project and L1 status for two UP Jal Nigam sewerage/water supply projects worth about Rs 28,787 lakhs combined.
Operational results are steady with modest single-digit profit growth, supported by a strong order book pipeline of new wins. However, investors should watch for a successor auditor appointment to fill the mid-term vacancy, and note that the related-party acquisition of a dormant real estate entity may raise governance questions despite being done on an arm's-length basis.
