The Board of Directors of EnCap Investment Manager Private Limited, acting as the Investment Manager of Energy Infrastructure Trust (formerly India Infrastructure Trust), met on September 4, 2025, and approved the conversion of the Trust from a private listed InvIT to a public listed InvIT. This will be carried out through a public Offer for Sale of up to 13.28 crore units by the sponsor, Rapid Holdings 2 Pte. Ltd. The Board also approved amendments to the Indenture of Trust, Investment Management Agreement, and Distribution Policy to facilitate the conversion. A draft notice for an Extra-ordinary General Meeting (EGM) to seek unitholder approval was also approved. The conversion is subject to unitholder and regulatory approvals, favorable market conditions, and compliance with SEBI's InvIT Regulations including the July 11, 2025 Master Circular framework for such conversions.
For existing unitholders, this move could improve liquidity and broaden investor participation as the units become more accessible to the public.
