Energy Infrastructure Trust (BSE Scrip Code 542543), managed by EnCap Investment Manager (formerly Brookfield India Infrastructure Manager), held its 7th AGM via video conferencing on July 24, 2025 from 11:00 AM to 11:38 AM. Three ordinary business resolutions were put to vote: (1) adoption of audited standalone and consolidated financial information for FY ended March 31, 2025, (2) adoption of the valuation report of trust assets for FY ended March 31, 2025, and (3) appointment of valuer and fixing their remuneration. Resolutions 1 and 2 were passed unanimously. Resolution 3 also passed but with some dissent — 50 lakh votes (23.42% of votes polled by them) were cast against by public institutional investors, taking overall approval to 99.04%. Total outstanding units stood at 66.4 crore, with 78.24% voting participation (51.95 crore units polled). The sponsor group (49.8 crore units) voted 100% in favour of all resolutions.
All three standard AGM resolutions were approved, confirming routine governance continuity with no material disruption to trust operations. The notable 23.42% dissent from public institutional investors on the valuer appointment (Resolution 3) is a minor red flag worth monitoring but does not impact unitholders immediately. No distribution, capital, or strategic decisions were on the agenda, so near-term stock/unit price impact is expected to be negligible.
