The Sponsor of Energy Infrastructure Trust, Rapid Holdings 2 Pte. Ltd. (a Singapore entity linked to Brookfield/EnCap), sold 13,200,000 units of the Trust on September 24, 2025, through on-market trades on BSE. The transaction was valued at Rs 1,082.40 million (approx Rs 108.24 crore). As a result, the Sponsor's holding in the InvIT dropped from 291,400,000 units (43.89%) to 278,200,000 units (41.90%), a reduction of nearly 2 percentage points. The disclosure was filed under SEBI insider trading regulations via Form C by the Investment Manager (EnCap Investment Manager Pvt. Ltd.) on September 26, 2025.
A sponsor sell-down of nearly 2% stake worth over Rs 108 crore adds supply to the market and may put short-term pressure on the unit price. Even after the sale, the Sponsor retains a controlling stake of 41.90%, so there is no change in control, but reduced sponsor skin in the skin may be viewed negatively by some unitholders.
