Energy Infrastructure Trust (formerly India Infrastructure Trust), managed by EnCap Investment Manager (formerly Brookfield India Infrastructure Manager), held its 1st EGM on October 10, 2025 via video conferencing with 41 unitholders attending. Four resolutions were passed: (1) conversion of the Trust from a private listed InvIT to a public listed InvIT via a public offer of units (offer for sale), which received 99.99% votes in favor; (2) amendments to the Indenture of Trust, passed with 99.95% approval; (3) authority to amend the Investment Management Agreement, passed with 99.95% approval; and (4) authority to amend the Distribution Policy, passed with 99.99% approval. Total units outstanding stood at 66.4 crore, with the Sponsor group holding 27.82 crore units (100% voted in favor) and around 76% of outstanding units participating in voting. The Scrutinizer confirmed no invalid votes and all resolutions were declared passed.
All resolutions were passed with overwhelming support (over 99.95% in favor), clearing the way for the Trust to convert from a private listed to a public listed InvIT, which opens the door to a future public offer of units and broader investor participation. The change of investment manager name from Brookfield to EnCap signals a shift in sponsorship/management identity, which unitholders should monitor closely.
