Entertainment Network (India) Limited (ENIL) has disclosed a reorganisation at the promoter level. Its current promoter, Bennett Coleman and Company Limited (BCCL), plans to demerge its non-publishing business — covering education, investment, broadcasting, media, entertainment, and allied activities (the 'EIBME Business') — into its wholly owned subsidiary, Times Horizon Private Limited (THPL). As part of this, BCCL's 71.15% stake in ENIL (3,39,18,400 equity shares) will be transferred to THPL, making THPL the new promoter of ENIL. BCCL and THPL have signed a Reorganisation Agreement on September 23, 2025, and a scheme of arrangement will be filed with the NCLT, subject to approvals from the NCLT and the Competition Commission of India. ENIL is not a party to the agreement, and the reorganisation is not classified as a related party transaction for ENIL. No new shares are being issued by ENIL, and there is no direct change in management or control of ENIL at the listed entity level.
This is an internal restructuring within the promoter group and is unlikely to materially affect ENIL's day-to-day operations or minority shareholders. The ultimate controlling shareholders remain the same; only the intermediate holding entity changes from BCCL to its wholly owned subsidiary THPL. Investors should monitor NCLT and CCI approval timelines, but the stock price impact is expected to be neutral.
