Epuja Spiritech Ltd's board, at its meeting on 11 September 2025, approved the allotment of 64,77,451 equity shares of face value Rs. 1 each at an issue price of Rs. 3.40 (including Rs. 2.40 premium) pursuant to the conversion of fully convertible warrants issued earlier via preferential allotment. The shares were allotted to 12 allottees, mostly non-promoters, with the largest tranche (23,52,941 shares) going to Prakash Chandrakumar Gandhi, a Non-Executive Director. As a result, the company's paid-up equity capital has risen from Rs. 8.90 crore to Rs. 9.55 crore (an increase of about 7.3%). A significant 7,79,33,431 warrants remain unconverted and may be converted into equity in the future, potentially leading to further dilution.
Shareholders should expect mild equity dilution now, with the risk of much larger future dilution as nearly 7.79 crore additional warrants are still pending conversion. The allotment is to non-promoter and director-related allottees, so no fresh promoter strengthening has occurred.
