Equilateral Enterprises Ltd (formerly Surya Industrial Corporation Ltd) has called its 38th Annual General Meeting on Tuesday, 30 September 2025 at 4:30 PM, to be held via video conferencing. Shareholders will vote on adopting the standalone financial statements for FY ended 31 March 2025. The board is seeking shareholder approval to set a borrowing limit of up to Rs. 50 crore under Section 180(1)(c) of the Companies Act, along with related powers to create security on assets under Section 180(1)(a). Another special resolution asks shareholders to approve a Rs. 50 crore limit for giving loans, guarantees, and making investments under Section 186. The meeting will also appoint M/s Nitesh Chaudhary & Associates as the new Secretarial Auditor for a five-year term from FY 2025-26 to FY 2029-30. Voting will be done electronically through NSDL's e-voting platform between 27 and 29 September 2025.
The proposals give the board broad financial flexibility to borrow up to Rs. 50 crore and lend, invest, or guarantee up to another Rs. 50 crore over the next five years, which could lead to higher debt or related-party transactions that shareholders should track. The appointment of a new secretarial auditor is routine and a SEBI compliance requirement for listed companies.
