Eraaya Lifespaces submitted its Monitoring Agency Report from CARE Ratings for Q2FY26, covering a Rs. 218.70 crore preferential issue of compulsorily convertible warrants. The original issue size of Rs. 1,028.70 crore was reduced because it was undersubscribed, and no fresh funds were raised during the quarter. Of the proceeds, Rs. 63.17 crore was utilized, leaving just Rs. 0.01 crore (~Rs. 97,045) unutilized. The Monitoring Agency flagged several serious concerns: ED raids on promoter Vikas Garg's properties linked to the Mahadev Betting App case, an arbitration ruling in favour of group company Vikas Lifecare for USD 34.83 million, pending recovery of USD 40 million from FCCBs tied to the Ebix acquisition, frequent top management changes, a subsidiary joint auditor resignation in October 2025, and a lawsuit by former QIP investor Veda Opportunities Fund. The Board disputed several of the Monitoring Agency's observations, calling the ED-acquisition link comment baseless.
This report is materially negative — the Monitoring Agency itself questioned the viability of the fund-raising objectives given the undersubscription, low share price versus warrant exercise price (risk of warrants lapsing), and ongoing legal/regulatory headwinds. Shareholders face heightened risk from ED action against the promoter, the unpaid arbitration award, and pending FCCB litigation, which could weigh on the stock price and corporate governance perception.
