Ayush Vardhan Singhania, part of the promoter group of Ester Industries, has informed the exchanges of a proposed acquisition of 8,81,143 equity shares (0.90% of paid-up capital) by way of a gift (no price). The shares are being transferred from his father Arvind Singhania (7,56,285 shares, 0.77%) and brother Jai Vardhan Singhania (1,24,858 shares, 0.13%). As a result, Ayush Vardhan Singhania's individual holding in the company will rise from 0.18% (1,78,033 shares) to 1.08% (10,59,176 shares). The total promoter and promoter group shareholding remains unchanged at 62.71% before and after the transfer, as this is an internal family reallocation. The acquisition is exempt from open offer requirements under Regulation 10(1)(a) as it is an inter-se transfer among promoters.
This is a routine internal reshuffle within the promoter family and has no impact on the overall promoter shareholding or the company's free float. Shareholders need not be concerned as the total promoter group stake stays the same at 62.71% and no open offer is triggered.
