Ester Industries disclosed that promoter Arvind Singhania has transferred 7,56,285 equity shares (0.77% of voting rights) to Ayush Vardhan Singhania, a member of the promoter group, through an off-market inter-se transfer by way of gift on 24 March 2026. The transfer was carried out under Regulation 10(1)(a)(i)&(ii) of SEBI Takeover Regulations, which exempts such inter-se promoter transfers. After the transfer, Arvind Singhania's holding is reduced to zero, while Ayush Vardhan Singhania's holding rises to 9,34,318 shares (0.95%). The total promoter group holding remains unchanged at 6,12,01,027 shares, representing 62.71% of the company's share capital, as the transfer is purely an internal reallocation within the promoter family.
