Faalcon Concepts' board, meeting on November 1, 2025, approved raising the Authorised Share Capital from ₹10.5 crore to ₹14 crore by adding 35 lakh new equity shares of ₹10 each. The board also cleared a preferential allotment of up to 20,50,000 equity shares and 12,00,000 convertible warrants to promoters and 33 identified non-promoter allottees at ₹44.50 per share/warrant, aggregating to about ₹14.46 crore. Promoter warrants (12 lakh units) will be issued to the promoter group, which currently holds 67.96% and would come down to 60.20% assuming full conversion. Shareholders will vote on these proposals at an Extra-Ordinary General Meeting (EGM) scheduled for November 28, 2025 via video conferencing.
The fund raise is dilutive for existing shareholders since promoter holding will drop from ~68% to ~60% post-conversion, and roughly 32.5 lakh new shares could be added to the base. However, the ₹44.50 issue price is significantly above the ₹10 face value, signaling promoter and investor confidence in the company's valuation. Existing shareholders should review the allotment list and vote at the November 28 EGM.
