Fabtech Technologies Cleanrooms has completed the acquisition of a 28% stake in M/s. Aart Integrated Projects Private Limited by purchasing 97,222 equity shares at a price of ₹411 per share (₹10 face value + ₹401 premium). The total consideration was about ₹3.99 crore, of which around ₹2 crore was paid in cash and the rest was adjusted against an existing loan Fabtech had given to the target company. After this deal, Aart Integrated Projects becomes an Associate Company of Fabtech. The target operates in a closely related field of HVAC, cleanroom, and turnkey facility solutions for pharmaceutical, automobile, microelectronics, and semiconductor industries. The target's revenue has been declining from ₹19.28 crore in FY22 to ₹12.57 crore in FY24, with a profit after tax of just ₹10.05 lakh in FY24. The deal is not a related-party transaction and no regulatory approvals were needed.
This is a modest, strategic investment in a related-business associate rather than a full takeover, so the immediate financial impact on Fabtech is limited to about ₹2 crore of cash outflow. The deal gives Fabtech synergy potential and expanded reach in cleanroom and HVAC projects, but investors should note the target's shrinking turnover and thin profitability, which means the value creation here depends on how well synergies materialize.
