Family Care Hospitals Ltd completed a postal ballot (e-voting) with 7 resolutions. Six resolutions were passed with strong majority: regularization of 3 independent directors (Archana Chirawawala, Sanjeev Seth, Nitesh Shrinath Singh – all with ~96.8% assent), regularization of Suchit Raghunath Modshing as Executive Whole-Time Director (96.85% assent), cancellation of the earlier authorized share capital increase (100% assent), and alteration of the objects clause of the MoA (96.82% assent). The 7th resolution – approval of Related Party Transactions for FY2025-26 – FAILED, getting only 51.36% assent vs 48.64% dissent, with over 1 crore (10,013,723) votes recorded as abstained/invalid, leaving just 6.94 lakh valid votes. About 44,853 members were eligible to vote; only 86 participated.
The new directors and whole-time director add fresh leadership to the board, which is positive for governance continuity. However, the rejection of the Related Party Transactions resolution is a material negative – the company cannot enter into those RPTs during FY2025-26 without re-seeking member approval, and the near-even split (51:49) signals meaningful shareholder discomfort with related-party deals.
