Family Care Hospitals Limited conducted a postal ballot through remote e-voting, with the last date of voting on February 20, 2026, and results declared on February 21, 2026. Three special resolutions were put to vote: re-appointment of Mr. Suchit Raghunath Modshing as Executive Whole-Time Director for 5 years, and re-appointment of Mrs. Archana Chirawawala and Mr. Sanjeev Seth as Non-Executive Independent Directors for a second term. All three resolutions passed with overwhelming majority, each receiving about 96.52% votes in favour and 3.48% against. Promoter group (holding 1,00,13,623 shares, about 18.5% of outstanding shares) voted 100% in favour of all resolutions. Of the 47,300 shareholders on record date, only 85 members (representing about 19.97% of total outstanding shares of 5,40,14,774) actually participated in voting.
The resolutions secure continuity of leadership at the board level with all three directors confirmed for their respective terms. While the resolutions passed comfortably, low public participation (only 1.76% of public non-institutional shares were voted) and a near 50-50 split among public shareholders who did vote (roughly 51.5% in favour vs 48.5% against) suggests modest public dissent on board appointments, though this is unlikely to materially affect the stock.
