Fedders Holding Ltd announced that its wholly-owned subsidiary Fedders Electric and Engineering Limited (FEEL) received NCLT Allahabad Bench approval on October 16, 2025 to modify its resolution plan to permit delisting of FEEL's shares from NSE and BSE. FEEL was admitted into the insolvency resolution process in February 2019, and a resolution plan was approved in October 2021 under which its entire share capital (3.39 crore equity shares of Rs 10 each) was reduced to NIL, making Fedders Holding (then IM+ Capitals) the 100% owner. The company could not meet the mandatory 5% public shareholding rule under amended SEBI regulations, prompting BSE to freeze promoter shares in February 2025. With 74.41% of the Committee of Creditors (SBI, Axis Bank, Karnataka Bank) consenting and both NSE and BSE raising no objections, the NCLT allowed the modification.
This decision only affects the subsidiary FEEL, which will become an unlisted, wholly-owned private entity; Fedders Holding Ltd's own listing on BSE remains unaffected and the freezing of FEEL's promoter shares should now be resolved.
