The Board of Directors of Filatex Fashions Limited approved raising up to USD 100 million (approximately) through issuance of Foreign Currency Convertible Bonds (FCCBs) via international private placement, subject to shareholder and regulatory approvals. The FCCBs are optionally convertible, meaning bondholders can convert into equity shares at their discretion. Separately, the Board approved increasing the company's Authorized Share Capital from ₹850 Crores to ₹1,000 Crores, and authorized loans, guarantees, and investments up to ₹2,000 Crores under Section 186 of the Companies Act, 2013, also subject to shareholder approval via Special Resolution. An EGM will be convened, with a Postal Ballot notice to follow.
The FCCB issuance could dilute existing shareholders upon conversion. The large ₹2,000 Crore investment/guarantee limit gives the company significant financial flexibility but raises exposure risks. Shareholders should monitor conversion terms and use of proceeds.
