Filmcity Media Ltd has announced the results of its postal ballot conducted through remote e-voting from March 17 to April 15, 2026. All three resolutions were passed with overwhelming majority (>99.9% in favor). The resolutions included: (1) alteration of the Main Object Clause in the Memorandum of Association, (2) appointment of Mr. Prabhat Modi as Non-Executive Non-Independent Director, and (3) issuance of 1.90 crore equity shares on preferential basis to promoter and non-promoter categories. Voting turnout was low at approximately 17.8% of total shares. Five corporate members had their 70,69,005 votes invalidated due to missing Board Resolutions or Authority Letters as required under Section 113 of the Companies Act, 2013.
The preferential share issuance of 1.90 crore equity shares will significantly dilute existing shareholders' stakes. The alteration of the MOA suggests the company may be expanding into new business areas. The appointment of Mr. Prabhat Modi adds a new face to the board composition.
