Filmcity Media Ltd has announced results of a postal ballot conducted via remote e-voting from March 17 to April 15, 2026. Three resolutions were passed with overwhelming shareholder approval (all above 99.9% in favour). First, shareholders approved alteration of the Main Object Clause III(A) of the Memorandum of Association. Second, Mr. Prabhat Modi (DIN: 08193181) was appointed as Non-Executive Non-Independent Director. Third, the company approved issuance of 1,90,00,000 (19 crore) equity shares to both Promoter and Non-Promoter categories on a preferential basis. The voting turnout was low at approximately 17.8% of outstanding shares, with promoters holding 51.7 lakh shares voting in full. Five corporate members had their 70.69 lakh votes declared invalid due to failure to submit mandatory board resolutions or authority letters.
The preferential share issuance of 19 crore shares will significantly dilute existing shareholders, given the current outstanding is only about 3.06 crore shares. The MOA alteration suggests possible business expansion or diversification. Shareholders should monitor the pricing and terms of the preferential allotment.
