Finkurve Financial Services has received BSE's in-principle approval for a preferential allotment of (1) 1,50,14,000 equity shares (face value Re. 1) to non-promoters and (2) 51,28,105 share warrants (convertible into equal number of equity shares) to promoters. Both the shares and warrants will be issued at a price not less than Rs. 78 per share. This means the company plans to raise roughly Rs. 117 crore from non-promoters upfront, with an additional Rs. 40 crore potential inflow when promoters choose to convert their warrants. This is only the exchange approval — actual allotment and listing of these shares is yet to happen and will follow SEBI's preferential issue rules.
This is a sizeable capital raise plan that will dilute existing shareholders once the shares and warrants are allotted.
