The Board of Finkurve Financial Services approved the Annual Report and Director's Report for FY 2024-25, and finalised plans for the 41st Annual General Meeting including the e-voting cut-off date. A new Statutory Auditor, M/s. Ladha Singhal & Associates, was appointed, while M/s. Mayank Arora & Co. was named as Secretarial Auditor for a five-year term from FY 2025-26 to FY 2029-30 and also as scrutinizer for the AGM. Several Material Related Party Transactions were cleared, covering loans to and from related parties and service fee arrangements with M/s. Augmont Goldtech Private Limited, all running until the 2026 AGM. The Board also approved a borrowing limit of up to ₹2,500 crore under Section 180(1)(c) and a threshold of ₹3,000 crore for loans, guarantees and investments under Section 186. Finally, the issuance of Non-Convertible Debentures on a private placement basis was greenlit.
Shareholders should watch the upcoming AGM closely, as the ₹2,500 crore borrowing ceiling, ₹3,000 crore investment threshold, and the new NCD private placement plan signal a major scale-up in leverage and capital-raising activity. The appointment of a new statutory auditor and multiple material related-party transactions will require shareholder approval.
