Fortis Healthcare's Board, at its May 20, 2025 meeting, recommended a final dividend of Rs. 1 per equity share (10% of face value of Rs. 10) for FY2024-25, subject to shareholder approval. The Board also approved audited standalone and consolidated financial results for Q4 and FY ended March 31, 2025, with auditors B S R & Co. LLP issuing an unmodified opinion. Standalone FY25 revenue from operations rose about 22% to Rs. 1,445.89 crore (from Rs. 1,181.42 crore last year), while EBITDA grew roughly 35% to Rs. 454.06 crore. However, standalone net profit for FY25 fell to Rs. 63.79 crore from Rs. 199.45 crore, largely due to a Rs. 115.14 crore exceptional loss from impairment of investments in subsidiaries. Additionally, M/s Neelam Gupta & Associates was appointed as Secretarial Auditor for 5 years, and M/s Jitender, Navneet & Co. as Cost Auditor for FY2025-26.
The Rs. 1 final dividend is modest given the Rs. 10 face value, and shareholders should note that standalone net profit dropped sharply because of a non-cash subsidiary impairment charge; the underlying operating business actually grew strongly on the back of higher revenue and EBITDA. The auditor flagged ongoing SFIO investigations and a Supreme Court matter relating to pre-2018 transactions, which remain key overhangs to watch.
