Foseco Crucible (India) Limited submitted its Annual Secretarial Compliance Report for the financial year ending March 31, 2026, audited by Prajot Tungare & Associates. The secretarial auditor identified four compliance deviations during the review period: (1) a 1-day delay in filing Q2 shareholding pattern (Regulation 31), (2) a 1-day delay in advance intimation for the August 6, 2025 board meeting resulting in a Rs 10,000 BSE penalty (Regulation 29), (3) a 5-day delay in filling an Independent Director vacancy caused by Mrs. Maithalli Tambolkar's resignation (Regulation 17(1E)), and (4) failure to maintain Structured Digital Database (SDD) for Q1 FY 2025-26 under SEBI PIT Regulations. The company explained the delays as inadvertent and stated it is strengthening internal processes. The SDD has since been implemented with MUFG Intime India Private Limited. Three prior-year compliance issues were also addressed including NRC composition errors (Rs 2,14,760 fine paid) and delayed shareholder approvals.
The violations are relatively minor administrative delays, though the Rs 10,000 penalty from BSE and Rs 2.15 lakh fine from the previous year indicate recurring compliance gaps. The company appears to be taking corrective action, but investors should monitor that internal controls improve to avoid repeat penalties in future filings.
