FSN E Commerce Ventures Limited has informed the Exchange regarding Proceedings of Annual General Meeting held on August 25, 2025

FSN E-Commerce Ventures (Nykaa) held its 13th Annual General Meeting on August 25, 2025, via video conferencing, from 10:30 AM to 1:23 PM IST. The meeting was chaired by Executive Chairperson, MD and CEO Ms. Falguni Nayar, with 110 members in attendance (8 from promoter group and 102 from the public). The Chairperson shared FY 2024-25 performance highlights covering the beauty multi-brand business, House of Nykaa, Superstore by Nykaa, Nykaa Fashion, technology, and ESG initiatives. Four resolutions were put to vote: adoption of standalone and consolidated financial statements for FY ended March 31, 2025, re-appointment of directors Ms. Adwaita Nayar and Mr. Milan Khakhar (both retiring by rotation), and appointment of M/s. S. N. Ananthasubramanian & Co. as Secretarial Auditors for a five-year term (FY 2025-26 to FY 2029-30). All resolutions were passed with the requisite majority, and the Statutory and Secretarial Auditors' reports contained no qualifications or adverse remarks.
