Fusion Finance Ltd has announced the results of its Postal Ballot conducted through remote e-voting. Two resolutions were passed with overwhelming shareholder approval: (1) Appointment of Mr. Brahmanand Hegde as Non-Executive Independent Director (Special Resolution) with 99.9998% votes in favour; and (2) Appointment of Ms. Remika Agarwal as Non-Executive Non-Independent Director (Ordinary Resolution) with 99.9998% votes in favour. Both resolutions attracted over 99.9% approval from shareholders including promoters and public institutional investors. The voting participation was 65.30% of total shares. The paid-up share capital stood at approximately INR 1,617.3 million across 16.2 crore equity shares.
The appointments strengthen the board with governance experience through Mr. Hegde's independent oversight while Ms. Agarwal joins as a non-independent director. The near-unanimous shareholder approval signals strong backing for these board changes and should be viewed positively by the market.
