The Exchange has received the disclosure under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011 for Creation Investments Fusion II, LLC

Creation Investments Fusion II, LLC, a member of the promoter group of Fusion Finance Ltd, acquired 32,18,813 partly paid-up equity shares through the company's Rights Issue, allotted on May 2, 2025. Before the allotment, the entity held 99,54,529 shares (9.85% of the pre-issue capital); after allotment, it holds 1,31,73,342 shares. Although the absolute number of shares increased, its percentage holding dropped to 8.13% of the expanded post-issue capital of 16,20,82,277 shares, due to dilution from the rights issue. The acquisition was made in the nature of subscription to the rights entitlement, not a market purchase.
