Future Market Networks Limited has allotted 30 lakh equity shares to Surplus Finvest Private Limited (a promoter group entity) following the conversion of 30 lakh convertible warrants on a 1:1 basis. The shares were issued at a face value of Rs. 10 each with a premium of Rs. 1.21, giving an issue price of Rs. 11.21 per share and a total consideration of about Rs. 3.36 crore. The original warrants were issued on a preferential basis on December 18, 2024, with 25% paid at that time and the remaining 75% (Rs. 2.52 crore) received now upon conversion. After this allotment, the promoter group still holds 65 lakh unconverted warrants, meaning more dilution could follow in the future.
Existing shareholders face equity dilution as 30 lakh new shares enter the market, while the promoter group's stake in the company increases. Investors should note that another 65 lakh warrants remain pending conversion, which could lead to further dilution down the line.
