Futuristic Solutions Ltd informed the BSE that its board has granted post-facto approval to a Share Purchase Agreement executed on 3rd October 2025 for acquiring 250 equity shares (11.96% stake) in Diana Euro Chem Private Limited for a total cash consideration of ₹6.79 crore. Diana Euro Chem is engaged in real estate and settlement of claims, was incorporated in March 1999, and had declining turnover over the past three years (₹10.31 cr in FY23, ₹6.53 cr in FY24, and NIL in FY25 due to disputes that have now been resolved via a Memorandum of Settlement). The company said the investment is expected to yield multiples of return due to area development and the upcoming inauguration of the New Delhi–Dehradun Highway, which is expected to cut travel time from 6 hours to under 3 hours. The transaction is not a related party deal and required only board approval.
For shareholders, this is a small (~₹6.8 cr) diversification bet into real estate outside the company's core business, with the target currently generating no revenue. The post-facto approval (deal signed before board nod) and speculative nature of the returns tied to highway development mean investors should weigh this as a long-term, asset-based play rather than an immediate value driver.
