Gajanan Securities Services Limited informed the exchanges that two of its step-down material subsidiaries — Doreman Distributors Pvt Ltd and Chaturbhuj Agencies Pvt Ltd — have transferred equity shares held as investments to the company's promoters, Suman Agarwal and Vinay Kumar Agarwal. The transfers involved shares of six private companies: DMP Vanijya, Dream Mercantile, Mangonel Mercantile, Star Vinimay, Hardco Commercial Services, and Mangonel Infradevelopers. The largest single transaction was 200 shares of Star Vinimay sold to Vinay Kumar Agarwal for Rs. 52.29 lakhs. Total consideration across all six transfers was Rs. 1,21,46,875 (about Rs. 1.21 crore). The disclosure was made under SEBI's Listing Regulations relating to material subsidiary actions.
These are related-party transactions where investments sitting inside subsidiaries are being moved out to the promoters personally. It does not directly change the listed company's own operations or revenues, but retail investors should note that assets are leaving the group structure into promoter hands, which is a governance flag worth monitoring.
