Gamco Ltd (formerly Visco Trade Associates Ltd), a BSE-listed company, has called an EGM on February 20, 2026 to seek shareholder approval for the amalgamation of its wholly owned subsidiary Complify Trade Private Limited with itself. The scheme was approved by both companies' boards on November 20, 2025, and is being pursued under the fast-track merger route (Section 233 of the Companies Act, 2013) with the Regional Director, Eastern Region, MCA. Since Complify Trade is a wholly owned subsidiary, no new shares of Gamco will be issued — the entire share capital of the transferor company will simply be cancelled upon the scheme becoming effective. Complify Trade has no secured or unsecured creditors as on December 15, 2025, and the appointed date will be the first day of the relevant quarter in the FY the scheme is sanctioned. The scheme requires approval by at least 90% of equity shareholders voting, plus a majority of public shareholders voting in favour.
This is a routine internal restructuring of a wholly owned subsidiary into the listed parent. For shareholders, there is no change in shareholding pattern, no share issuance, and no swap ratio — the merger is essentially a balance sheet consolidation. Stock price impact is likely neutral as no new shares are being created and no cash is changing hands.
