Gautam Exim Ltd has informed BSE that it received requests dated 23rd, 27th, and 30th May 2025 from existing promoters and promoter group members seeking reclassification from 'Promoter/Promoter Group' to 'Public' category under Regulation 31A(10) of SEBI LODR. This follows a Share Purchase Agreement dated 20th September 2024, under which Mr. Raj Kumar Agarwal and Mr. Parmeshwar Ojha acquired 22,46,625 equity shares (72.92% of voting capital) at ₹18.50 per share for an aggregate of ₹4,15,62,562.50, triggering a mandatory open offer. The open offer was for up to 8,01,060 shares (26% of voting capital) at ₹43.00 per share. The applicants have confirmed they hold less than 10% voting rights, have no board representation or control, and are not willful defaulters or fugitive economic offenders.
This formalises the exit of the original promoter group from Gautam Exim's promoter category, leaving them as public shareholders with no board or management role. For retail investors, this means effective change of control and promoter identity has already occurred; existing public shareholders are now governed by the new promoter group led by Mr. Raj Kumar Agarwal and Mr. Parmeshwar Ojha.
